Orange Book Submission Agreement

By submitting your artwork (“Artwork”) for consideration to be placed in Artrepreneur’s Orange Book (the “Book”), you, the person or organization submitting the Artwork (“Applicant”), agree to be bound by the terms of this Agreement with Orangenius, Inc., DBA Artrepreneur, a Delaware corporation, with its principal address at 511 Avenue of the Americas, New York, NY 10016 (“Artrepreneur”).

1. Grant of Rights. Applicant grants Artrepreneur the exclusive and worldwide right to reproduce, publish, distribute, and publicly display the Artwork solely for the purpose of producing and publishing the Book. These rights apply only to the specific edition of the Book for which the Applicant submitted the Artwork, including advertising and promotional materials created for that edition.
2. Scope of Publication. Artrepreneur may publish the Book in all formats, languages, and platforms, in any media now known or developed in the future, for the duration of the edition in which it is published, without any restriction.
3. Compensation. In consideration for the use of the Applicant’s Artwork, Artrepreneur will distribute the Book to potential art buyers and commercial organizations. Artrepreneur will not profit from the sale or distribution of the Book.
4. Your Representations. By submitting your Artwork, you represent and warrant that: a) You are the sole owner of all copyrights, trademarks, and other intellectual property and proprietary rights in the Artwork; b) Artrepreneur’s publication of the Book as authorized herein will not violate or infringe upon any copyright, trademark, or other intellectual property or proprietary right of any person or entity; c) You are not bound by any contract or arrangement that would conflict with the permissions or rights granted to Artrepreneur herein.
5. Jurisdiction. Any legal action or proceedings related to this Agreement shall be subject to the exclusive jurisdiction of the courts of the State of New York or the courts of the United States located in the Borough of Manhattan, New York City, New York.

Note: This Agreement constitutes the entire understanding between the Applicant and Artrepreneur concerning the Artwork submission for the Book and supersedes any prior or contemporaneous agreements, whether oral or written.
